What exactly is an M4A file?

A container with the audio inside it, rather than the audio on its own. That extra layer is where the length, the seek index and whatever metadata the format defines are kept, so a player knows how long an M4A is before decoding a single frame instead of scanning the whole file to find out. It also means the extension does not always settle what is inside: several containers of this kind are allowed to hold more than one sort of audio, which is why two M4A files can behave differently while looking identical from outside.
Is there a licence attached to AMR?

Not one you have to think about. The codec is covered by patent pools, and the licensing is settled by whoever ships the decoder — the phone, the browser, the operating system — long before a file reaches you. It is why the format is everywhere in hardware, and why royalty-free alternatives were built at all. It changes nothing about converting a file you already have, and it is only a live question if you are shipping an encoder yourself.
Why does music sound so poor in this conversion?

Because one side of it is a speech codec rather than a music codec. It models the human vocal tract and discards everything outside telephone bandwidth, which is fine for a voice memo and destructive for anything with instruments in it. Converting away from it cannot restore the missing frequencies — they were never encoded in the first place. AMR destroys music: its 8 kHz bandwidth removes everything above telephone frequencies, and no amount of re-encoding brings it back.
Is M4A an Apple-only format?

M4A is what the Music app and the iTunes Store settled on, which is why it is the default on every Apple device and why the extension reads as an Apple one — but the specification underneath is an open standard, and every current phone, browser, car head unit and media player reads it. M4A is an MP4 container carrying audio only, and it is what iTunes, Apple Music and the iPhone Voice Memos app produce.
